These Terms of Service (“Terms”) govern your access to and use of the Telphi mobile application and AI receptionist service (collectively, the “Service”) provided by Uncommon Works Ltd (“we,” “us,” or “our”).
By downloading, accessing, or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Service Description
Telphi provides an AI-powered telephone answering service designed for UK trade businesses. The Service includes:
- A dedicated UK telephone number for your business
- An AI voice agent that answers calls on your behalf
- Call transcription and summary features
- A mobile application to configure your AI receptionist and review calls
- Integration with calendar and scheduling tools
The AI agent is designed to answer calls, collect caller information, respond to frequently asked questions based on information you provide, and filter enquiries based on your service area.
2. Eligibility
To use the Service, you must:
- Be at least 18 years old
- Be a resident of the United Kingdom or operate a UK-registered business
- Have the legal capacity to enter into a binding agreement
- Provide accurate and complete registration information
By using the Service, you represent and warrant that you meet these eligibility requirements.
3. Account Registration
To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorised use of your account
- Ensuring your account information remains accurate and up to date
We reserve the right to suspend or terminate accounts that contain inaccurate information or are used in violation of these Terms.
4. Subscription and Payment
Free Trial
We may offer a free trial period for new users. The duration and terms of the free trial will be specified at the time of registration. At the end of the trial period, you will be required to subscribe to a paid plan to continue using the Service.
Subscription Plans
The Service is offered on a subscription basis. Subscription fees, billing cycles, and included features are described on our pricing page and within the App. All prices are stated in British pounds sterling (GBP) and include VAT where applicable.
Payment
Payment is processed through our third-party payment processor, Stripe. By subscribing, you authorise us to charge your chosen payment method for the subscription fees. You agree to provide accurate and complete payment information.
Automatic Renewal
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through the App or by contacting us.
Refunds
Subscription fees are non-refundable except where required by law. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.
Price Changes
We reserve the right to modify subscription fees. We will provide at least 30 days’ notice of any price increases. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Your Responsibilities
When using the Service, you agree to:
- Provide accurate business information, including your business name, services, service area, and frequently asked questions
- Keep your knowledge base and business information up to date
- Use the Service only for lawful business purposes
- Respond promptly to leads and enquiries captured by the Service
- Comply with all applicable laws and regulations, including data protection laws
Prohibited Uses
You agree not to use the Service to:
- Engage in any unlawful, fraudulent, or deceptive activities
- Impersonate another person or business
- Collect or store personal data in violation of data protection laws
- Transmit spam, unsolicited communications, or marketing materials
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorised access to any part of the Service
- Use the Service for any business that is illegal or that we deem inappropriate in our sole discretion
- Reverse engineer, decompile, or attempt to extract the source code of the Service
6. AI Service Limitations
You acknowledge and agree that:
AI Is Not Perfect
The AI agent uses advanced speech recognition and natural language processing, but it may occasionally:
- Misunderstand callers, particularly in noisy environments or with strong accents
- Provide responses that are not perfectly suited to the caller’s enquiry
- Fail to capture all relevant information from a call
- Experience technical issues that affect call quality or availability
Not a Replacement for Emergency Services
The Service is not intended to handle emergency situations. If a caller reports an emergency, they should be directed to contact emergency services (999) directly. The AI agent is not trained to handle emergency dispatch or crisis intervention.
Information Accuracy
The AI agent responds based on the information you provide in your knowledge base. You are responsible for ensuring this information is accurate and up to date. We are not liable for any harm caused by inaccurate information you provide.
No Professional Advice
The AI agent does not provide professional, legal, medical, or financial advice. It provides general information based on your business knowledge base only.
7. Call Recording and Data
By using the Service, you acknowledge that:
- All calls handled by the AI agent may be recorded and transcribed
- Call recordings and transcripts are stored to provide the Service and may be used to improve AI quality
- You are responsible for informing your callers that their calls may be recorded, where required by law
- Caller data collected by the Service is subject to our Privacy Policy
You must comply with all applicable laws regarding call recording, including obtaining any necessary consent from callers.
8. Intellectual Property
Our Intellectual Property
The Service, including all software, designs, text, graphics, logos, and other content, is owned by Uncommon Works Ltd or our licensors and is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes in accordance with these Terms.
Your Content
You retain ownership of any content you provide to the Service, including your business information, FAQs, and knowledge base content. By providing this content, you grant us a worldwide, royalty-free licence to use, copy, modify, and display this content solely for the purpose of providing and improving the Service.
Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use this feedback without restriction or compensation to you.
9. Third-Party Services
The Service integrates with third-party services, including:
- Twilio for call routing and phone numbers
- ElevenLabs and LiveKit for AI voice, speech recognition, and synthesis
- Stripe and Apple for subscription billing and payment processing
- Google Calendar, Outlook, and Apple Calendar for scheduling integration
Call data sharing: To provide the AI voice service, we share call audio and related data with our AI voice providers (ElevenLabs and LiveKit). This data is used to process your calls in real time and generate transcripts. Our AI voice providers may use this data in accordance with their own privacy policies.
Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.
10. Service Availability
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance (we will provide reasonable notice where possible)
- Unscheduled maintenance or emergency repairs
- Factors outside our control, including internet outages, third-party service failures, or force majeure events
We are not liable for any loss or damage resulting from Service unavailability.
11. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied
- We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for any loss of profits, revenue, data, or business opportunities
- Our total liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Uncommon Works Ltd and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any content you provide to the Service
- Your infringement of any third-party rights
13. Termination
Termination by You
You may terminate your account at any time by cancelling your subscription through the App or by contacting us at support@telphi.co.uk. Upon termination, your access to the Service will end at the conclusion of your current billing period.
Termination by Us
We may suspend or terminate your account immediately if:
- You breach these Terms
- You fail to pay subscription fees when due
- We are required to do so by law
- We cease to offer the Service
We may also terminate your account for any reason with 30 days’ written notice.
Effect of Termination
Upon termination:
- Your right to use the Service ends immediately
- Your dedicated phone number will be released
- We may delete your account data after a reasonable retention period
- Provisions that by their nature should survive termination will remain in effect
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Posting the updated Terms within the App
- Updating the “Last updated” date at the top of this page
- Sending you a notification via the App or email
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales.
Any disputes arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating any legal proceedings, you agree to contact us at support@telphi.co.uk to attempt to resolve any dispute informally.
16. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Uncommon Works Ltd regarding your use of the Service.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
